SANTA CLARA, CA – AUGUST 30, 2002 – NVIDIA® Corporation (Nasdaq: NVDA) today announced Chief Executive Officer, Jen-Hsun Huang, and Chief Financial Officer, Mary Dotz, signed and filed statements with the U.S. Securities and Exchange Commission (SEC) certifying filings made by NVIDIA with the SEC in 2002.  This certification was made pursuant to the SEC’s Order No. 4-460 of June 27, 2002, which required such filing by the NVIDIA officers on or before September 11, 2002. The documents for which Huang and Dotz filed the certification included NVIDIA’s fiscal 2002 filing on Form 10-K, fiscal 2002 proxy statement, filing on Form10-Q for the quarter ended April 28, 2002 and filings on Forms 8-K made in 2002.

The certification noted that NVIDIA had received a letter dated August 15, 2002 from the Corporation Finance Division of the SEC containing comments on NVIDIA’s filing on Form 10-K for fiscal 2002 and Form 10-Q for the quarter ended April 28, 2002.   As discussed in the certification, the SEC letter notes the following with respect to the SEC investigation disclosed by NVIDIA earlier this year: “The Division of Enforcement (of the Commission) has commenced an investigation regarding certain matters which may be related to the Company.”  NVIDIA is in the process of responding to the comments in the letter on a timely basis and expects its officers to file an amended certification after it and the Division have addressed the questions raised by the comments.
